Acceptance of Terms

By accessing and using the website and services of Gramaxic ("Company," "we," "our," or "us"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by these terms, please do not use this website or our services.

Description of Services

Gramaxic provides software development, web application development, mobile app development, and related technology services. The services include but are not limited to:

Custom software development
School management systems
Business management solutions
Web application development
Mobile application development
Cloud solutions and hosting
Technical consulting and support

Payment Terms

Important Payment Policy

All projects require 80% payment before the start of any work. The remaining 20% is due upon project completion and before final delivery of work products.

Payment Details:

Initial Payment: 80% of the total project cost is required before commencement of any development work
Final Payment: 20% balance is due upon project completion and before release of final deliverables
Payment Methods: Bank transfer, Mobile Money (MTN/Airtel), or other agreed methods
Payment Timeline: Invoices must be paid within 7 days of issuance

Refund Policy:

If the project is cancelled before completion, the 80% advance payment is non-refundable
No refunds will be provided for completed work or work in progress
Payments made are final and non-transferable

Project Timeline and Delivery

Project timelines will be agreed upon at the start of each project
Delays caused by client feedback or requirements changes may extend the project timeline
Final deliverables will be provided after full payment is received
We reserve the right to pause work if payments are not made according to the agreed schedule

Client Responsibilities

Clients agree to:

Provide clear project requirements in a timely manner
Respond to queries and provide feedback within agreed timeframes
Make payments according to the agreed schedule
Provide access to necessary resources, accounts, and information
Test and review deliverables within 5 business days of receipt

Intellectual Property

Upon full payment, clients receive full ownership of custom-developed code and deliverables
Pre-existing tools, libraries, and frameworks remain the property of their respective owners
We retain the right to use completed projects in our portfolio (with client permission)
Third-party components are subject to their respective licenses

Warranties and Disclaimers

Services are provided "as is" without warranties of any kind
We do not guarantee that our services will be error-free or uninterrupted
We reserve the right to modify or discontinue services at any time
No warranties are provided for third-party products or services

Limitation of Liability

Gramaxic shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from the use or inability to use our services. Our total liability shall not exceed the amount paid by the client for the specific project in question.

Communication

By using our services, you consent to receive communications from us via email, phone, or other means. You agree to provide accurate contact information and to update us of any changes.

Prohibited Uses

You may not use our services to:

Engage in any illegal activity or violate any laws
Infringe upon the intellectual property rights of others
Transmit malicious code, viruses, or other harmful materials
Attempt to gain unauthorized access to our systems
Engage in any activity that could damage, disable, or impair our services

Termination

Either party may terminate this agreement with 14 days written notice
Upon termination, all outstanding payments become immediately due
Work completed up to the termination date will be delivered upon payment
We reserve the right to terminate services immediately for non-payment or violation of terms

Governing Law

These terms shall be governed by and construed in accordance with the laws of Uganda. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts of Uganda.
